This Community Solar Subscription Agreement (the “Agreement”) is entered into as of the date above (the “Effective Date”) by and between TCA Microgrid Energy Management LLC, dba SunCentral (“Seller” or “we” or “us”) and the Subscriber named above (each a “Party” and collectively the “Parties”), pursuant to which Subscriber will subscribe for Community Solar Credits (defined below) produced by the solar photovoltaic system described herein (the “System”) participating in the Xcel Energy Community Solar Garden (“CSG”) program.

Community Solar Credits. This Agreement is between “you” or the “Subscriber,” and Seller, for your subscription to a percentage of the energy generated by the System (the “Subscription”), which will generate kWh or monetary bill credits that reduce your utility bill (“Community Solar Credits” or “Credits”). For Credits received on your utility bill, you will pay Seller the monetary value of such Credits minus the Discount, such that your savings equal the Discount for the community solar portion of your bill. The estimated initial price for Credits is reported in the Subscriber Information table above. The price will change over the course of the term as utility rates change but will change in such a way that your Discount on Solar Credits reflects the amount above. Seller does not make representations or warranties concerning the tax implications of any

Subscription Term; Allocation Date; Cancellation or Transfer. The Subscription Term (the “Term”) will commence on the date on which Credits are first accumulated toward your allocation as processed by the local electric utility (“Allocation Date”). The Term of this Agreement shall be for 20 years; however, you may cancel this Agreement for any reason with no penalty any time before midnight on the third business day after the date of this Agreement, or any time thereafter if Subscriber provides Seller 90 days’ notice of intent to terminate. Following your notice to cancel, we will promptly direct the electric utility to cease allocating Credits to you from the System. It could take the utility up to 90 days to process the cancellation; you will be responsible for paying for credits during that period. If you relocate or change your utility service address within the same electric utility service area, you may retain your Subscription provided you notify Seller in a timely manner. You may also transfer this Agreement to another utility account within the same electric utility service area, up to one time per year, provided that we determine that such account is eligible to receive Credits from the System, and the owner of such account accepts the terms of this Until we notify you in writing that your cancellation or transfer has been processed by the utility, you are required to continue paying for the Credits that you receive for up to 90 days, in accordance with the terms of this Agreement.

Subscription Size; Reallocation; Termination by Seller. Your initial Subscription size, shown in the above table, is designed to generate Credits no greater than your estimated annual electricity We may adjust your Subscription size at any time without notice, provided that we will (i) never set a Subscription size that would generate Credits greater than your estimated annual electricity cost; and (ii) keep your Subscription size at 200 watts or greater but less than 25 kilowatts. We may reallocate your Subscription to a different solar photovoltaic system participating in the CSG program at any time, by providing notice to you, in which case such system will become the “System” under the terms of this Agreement. We may terminate your Subscription at any time by providing notice to you.
Consent to Disclose Subscriber Utility As part of this Agreement, Subscriber authorizes Seller to obtain Subscriber’s utility account information, including historical electricity usage data, in order to confirm eligibility to participate in the Xcel Energy CSG program and receive Community Solar Credits. Subscriber agrees to provide explicit consent to disclose information upon request from Seller.

Billing Unless otherwise expressly set forth in this Agreement, the payment amount Subscriber owes Seller (“Monthly Payment”) is equal to ninety percent (90%) of the value of the kilowatt-hours (kWh) of solar energy produced and delivered to the Utility during a production month. The Monthly Payment is calculated by multiplying the solar credit value per kWh in effect during the year in which the production month occurs by the System production in any given month, multiplied by 90%. The Subscriber retains 10% of the Community Solar Credits. Subscriber will pay the full Monthly Payment within thirty (30) days after the date of the subscription invoice. Monthly payments do not include taxes. Seller will invoice you monthly for your Payment. You agree to open a SunCentral account and will make your payment each month through your SunCentral account via direct electronic withdrawal from your checking or savings account (ACH payment) or by a preauthorized recurring credit card charge. You will execute any required forms in order to authorize such electronic withdrawal or recurring credit card charge (Exhibit – C).

If the System is out of service for more than three consecutive business days (an “Outage”), Seller will inform you of such Outage either via email, or another reasonably accessible communications method. Such communication will include the estimated duration of the Outage and estimated production that will be lost due to the Outage. Under no circumstances will any Outage affect the electricity service to your home.

You will be in default under this Agreement if you fail to make any payment when it is due and such failure continues for a period of ten (10) days. If Subscriber is in default of this Agreement, Seller may terminate immediately. Upon any such termination, you will be responsible for paying any outstanding balance for Credits previously received or received for up to 90 days after termination but will not be liable to us for any other amounts. If Seller is in breach of any material representation or warranty or fails to perform any material obligation as set forth in this Agreement and Seller’s breach or failure is not cured within thirty (30) days after notice, Subscriber may terminate with no penalty. If the project fails to produce electricity for a period of three-hundred and sixty- five (365) consecutive days, Subscriber may terminate this Agreement without further obligation.

Solar Incentives; Environmental Attributes. You acknowledge that you have no right to, and you disclaim any right to, Solar Incentives or Environmental Attributes related to the System or the solar energy generated by your “Solar Incentives” means any accelerated depreciation, installation, or production-based incentives, investment tax credits and subsidies, and all other solar or renewable energy subsidies and incentives. “Environmental Attributes” means, without limitation, carbon trading credits, renewable energy credits or certificates, emissions reduction credits, emissions allowances, green tags, or tradable renewable credits.

The payments do not include taxes. Subscriber agrees to either pay or reimburse Operator for any taxes assessed on the generation, sale, delivery, or consumption of Subscriber’s Solar Energy or the Bill Credits. “Taxes” includes any federal, state, and local ad valorem, property, occupation, generation, privilege, sales, use, consumption, excise, or transaction tax, and other taxes, regulatory fees, surcharges, or other similar charges, but does not include any income taxes imposed on Operator’s revenues due to the sale of energy under this Agreement, which are solely Operator’s responsibility. Also, for clarity, any tax credits and/or tax benefits associated with the Project belong entirely to the Operator, and Subscriber disclaims any interest in such tax credits and/or tax benefits.

Seller may assign or transfer its rights and obligations under this Agreement to any third party.

To finance the construction, installation or maintenance of the Project, Operator may borrow money from one or more parties (each a “Lender”), who may require that Operator provide them with a security interest in the Project, in Operator’s contracts with other subscribers, in this Agreement; and in any amounts Subscriber owes Operator. For the benefit of the Lenders, Subscriber agrees:
1. Subscriber understands Operator may finance the acquisition, development, installation, operation and maintenance of the Project with financing or other accommodations from one or more financial institutions or other parties and that Operator’s obligations to the Lenders may be secured by, among other collateral, a pledge or collateral assignment of this Agreement, and the amounts due Operator under this Agreement and a security interest in the Project (“Lender’s Security Interest”).
2. To facilitate financing, Subscriber consents to Operator’s granting Lender’s Security Subscriber acknowledges and agrees Subscriber and all of Subscriber’s rights under this Agreement are and will be subject and subordinate to the Lender’s Security Interest (as may be modified by any additions, amendments, consolidations, extensions, modifications, renewals, replacements, and substitutions).

Limitation of In no event shall either Party be liable to the other for damages under this Agreement that exceed an amount equal to three months of the average invoice to Subscriber under this Agreement.
Governing Law & Dispute The laws of Colorado shall govern this Agreement without giving effect to conflict of laws principles. For so long as SunCentral is the Seller hereunder, any disputes as between Subscriber and Seller shall be resolved pursuant to the dispute resolution provisions set forth in the SunCentral Terms of Service. Thereafter, any disputes shall be resolved in accordance with the laws of Colorado.
Amendments and Notices. All Amendments and notices under this Agreement shall be in writing and shall be delivered by electronic mail, overnight courier, or certified, or registered mail, return receipt requested, and deemed received upon personal Notices to Seller shall be sent to the address set forth below or such other address as Seller may subsequently specify in writing.

Colorado Community Solar Gardens: This Agreement adheres to the guidelines outlined in Colorado Statute R.S. 40-2-127 (CSG Statute) as well as the Colorado Public Utilities Commission (PUC) rules governing CSGs, as a participating project under the Xcel Energy 2018-2021 Renewable Energy Standard Compliance Plan. Entire Agreement. This Agreement, and the SunCentral Terms of Service, contain the entire agreement between the Parties regarding the Subscription for Community Solar There are no other agreements regarding this Agreement, either written or oral. Any change to this Agreement must be in writing and signed by both Parties. If any portion of this Agreement is determined to be unenforceable, the remaining provisions shall be enforced in accordance with their terms or shall be interpreted or re-written so as to make them enforceable.

Force Majeure. If Operator is unable to perform all or some of Operator’s obligations under this Agreement because of a Force Majeure Event, Operator will be excused from the performance affected by the Force Majeure Event, provided that: (a) the suspension of Operator’s obligations is limited to the scope and the duration required by the Force Majeure Event; and, (b) no obligation of Operator that arose before the Force Majeure Event that could and should have been fully performed before such Force Majeure Event will be excused as a result of such Force Majeure “Force Majeure Event” means any event, condition or circumstance beyond the control of and not caused by Operator’s fault or negligence. It includes, without limitation, failure or interruption of production, delivery or acceptance of electricity due to: an act of God; war (declared or undeclared); sabotage; riot; insurrection; civil unrest or disturbance; military or guerilla action; terrorism; economic sanction or embargo; strike, work stoppage, slow-down, or lock-out; explosion; fire; pandemic; earthquake; tornado; hail; volcanic activity; abnormal weather condition or actions of the elements; hurricane; flood; lightning; wind; drought; the binding order of any governmental authority (provided such order has been resisted in good faith by reasonable legal means); the failure to act on the part of any governmental authority (provided such action has been timely requested and diligently pursued); unavailability of electricity from the utility grid, power or voltage surge caused by someone other than Operator, including a grid supply voltage outside of the standard range specified by the utility’s equipment or products (but not to the extent that any such availability of any of the foregoing results from Operator’s failure to have exercised reasonable diligence); any other Utility delay or emergency; failure of equipment not utilized by Operator or under Operator’s control; and, force majeure affecting one (1) or more of Operator’s subcontractors. For clarity, a Force Majeure Event may affect the production of the Solar Energy and the amount of Bill Credit.

Characterization of transaction. The parties agree that, for Federal income tax purposes, the transactions described in the Agreement will be characterized as follows: (a) Subscriber will purchase its Solar Energy from Operator; (b) Subscriber’s Solar Energy purchase will be treated as a service contract under Internal Revenue Code Section 7701(e); (c) Operator will sell Subscriber’s Solar Energy to the Utility as Subscriber’s agent under the Agency Agreement; (d) Subscriber will receive a monthly Bill Credit from the Utility in exchange for the Solar Energy; (e ) Regardless of what any other provision of this Agreement may say to the contrary, Subscriber will not bear any significant financial burden if there is nonperformance by Operator under this Agreement, as the phrase “any significant financial burden if there is nonperformance” is used in Section 7701(e)(4)(A)(ii) of the Internal Revenue This prohibition also applies to any party related to Subscriber and includes Subscriber being deemed to bear any significant financial burden; (f) Regardless of what any other provision of this Agreement may say to the contrary, Subscriber will not be deemed to receive any significant financial benefit if the operating costs of the Project are less than the standard of performance and/or operation set forth in this Agreement, as the phrase “significant financial benefit if the operating costs of the Project are less than the standards of performance or operation” is used in Section 7701(e)(4)(A)(iii) of the Internal Revenue Code. This prohibition also applies to any party related to Subscriber; (g) Regardless of what any other provision of this Agreement may say to the contrary, or what any other agreement between the parties may say to the contrary, Subscriber will not have an option to purchase, and Subscriber will not be required to purchase, any portion of the Project. This prohibition also applies to any party related to Subscriber; (h) Regardless of what any other provision of this Agreement may say to the contrary, Subscriber will have no right to operate the Project, as that term is used in Internal Revenue Code Section 7701(e)(4)(A) (i). This prohibition also applies to any party related to Subscriber. Operator agrees that all tax returns, information statements, reporting requirements, and other filings related to taxes made by it will be made so that they comply with the tax characterizations in this Section, unless the law in effect at the time requires it to do otherwise.

Subscriber acknowledges having received and read this Agreement and all attachments in their entirety. If any part of this Agreement is determined to be unenforceable, the remaining provisions will be enforced in accordance with their terms. Operator’s failure at any time to require strict performance by Subscriber of any part of this Agreement will not waive Operator’s right thereafter. At no time during the term of this Agreement will Subscriber have any ownership in the Project, and Subscriber will not assert an ownership or security interest in the Project. This Agreement contain the entire understanding between the parties concerning the subject matter of this Agreement and supersedes any prior agreement.

The undersigned SRC Subscriber hereby authorizes (“SRC Producer”), and SRC Producer hereby accepts the responsibility, to act as SRC Subscriber’s agent for purposes of selling to Public Service Company of Colorado (“Public Service”) all of SRC Subscriber’s beneficial interest in and to the Photovoltaic Energy and associated Renewable Energy Credits generated by, and delivered to Public Service from, the Photovoltaic Energy System (“PV System”) identified above, including full authority for SRC Producer to enter into a long- term contract on behalf of SRC Subscriber for such sale and to administer such contract, all pursuant to Public Service’s Solar*Rewards Community Program and Rate Schedule SRC of Public Service’s electric tariff on file with the Colorado Public Utilities Commission (“Commission”) and in effect from time to time.

Duties of SRC Producer SRC Producer shall be responsible for issuing and managing the subscriptions of all SRC subscribers in the PV System and for selling to Public Service the subscribed and unsubscribed portions of the Photovoltaic Energy and associated Renewable Energy Credits generated by the PV System and delivered to Public Service at the production meter located at the PV System site. In performing such functions, SRC Producer shall be solely responsible for communicating directly to Public Service SRC Subscriber’s information concerning its subscription in the PV System, including

its beneficial interest in the Photovoltaic Energy and associated Renewable Energy Credits generated and produced by the PV System. SRC Subscriber acknowledges and agrees that Public Service shall exclusively rely on such information as regularly and timely communicated from the SRC Producer for the purpose of calculating the SRC Credit that will be applied by Public Service and reflected on SRC Subscriber’s subsequent electric service bills as compensation for Public Service’s receipt of SRC Subscriber’s share of the Photovoltaic Energy and associated Renewable Energy Credits generated and produced by the PV System, in accordance with Rate Schedule SRC of Public Service’s Colorado Public Utilities Commission electric tariff.

Adjustments of Prior Period SRC Bill To the extent the subscription information communicated by SRC Producer to Public Service and used by Public Service for purposes of calculating the SRC Credit applied on SRC Subscriber’s electric service bill was incorrect, SRC Producer shall be responsible for processing all corrections or other adjustments of SRC Credits previously applied by Public Service to SRC Subscriber’s electric service bills and to collect any overpayments and remit any underpayments for all such SRC Credits, as necessary, among SRC Subscriber and other SRC subscribers owning subscriptions in the PV System. SRC Subscriber acknowledges and agrees that any such corrections in amounts previously applied by Public Service as an SRC Credit on any of SRC Subscriber’s electric service bills for prior periods shall be administered exclusively by SRC Producer, and that Public Service shall not be required to increase or reduce any SRC Credit previously applied to SRC Subscriber’s electric service bill in any prior period to the extent such corrections are the result of incorrect subscription information for the PV System communicated to Public Service by SRC Producer. In connection with SRC Producer’s execution of its responsibilities to process any such adjustments to SRC Credits previously applied by Public Service with respect to the PV System, SRC Subscriber hereby authorizes Public Service to disclose and release to SRC Producer any and all information reflected on SRC Subscriber’s bills for retail electric service for all relevant periods, as may be necessary for SRC Producer to fully and properly administer such prior period adjustments among all SRC subscribers in the PV System.

Limitation of Agency. This Agency Agreement shall only serve to authorize SRC Producer to act as SRC Subscriber’s agent with respect to SRC Subscriber’s beneficial interest in and to the Photovoltaic Energy and associated Renewable Energy Credits generated by the PV System and delivered to Public Service

to the extent that SRC Subscriber’s subscription continues from time-to-time to qualify as a valid subscription in the PV System in accordance with Section 40-2-127, C.R.S., the effective rules and regulations promulgated thereunder by the Colorado Public Utilities Commission, and Rate Schedule SRC of Public Service’s Colorado Public Utilities Commission electric tariff.

Term of Agency and (a) This Agency Agreement shall become effective upon its execution by both SRC Subscriber and SRC Producer and shall continue in effect for so long as a valid and existing contract between Public Service and SRC Producer for the purchase and sale of such Photovoltaic Energy and associated Renewable Energy Credits shall continue in effect.
- This Agency Agreement may be terminated by either SRC Producer or SRC Subscriber upon Public Service’s receipt of notice that SRC Subscriber’s subscription in the PV System has been terminated or transferred in its entirety, or that SRC Subscriber no longer holds an interest in the beneficial use of the Photovoltaic Energy and associated Renewable Energy Credits generated by the PV
- This Agency Agreement shall automatically terminate upon: (i) the effective date of the termination of the contract between SRC Producer and Public Service for the purchase and sale of Photovoltaic Energy and associated Renewable Energy Credits generated by the PV System; or (b) in the event of an effective assignment by SRC Producer of such contract, where Public Service has consented to such assignment in writing, the effective date of a replacement agency agreement between SRC Subscriber and the new owner or subscriber organization of the PV System that has taken assignment of such contract from SRC
Representation and By executing this SRC Subscriber Agency Agreement, SRC Subscriber represents and warrants that the information stated herein is true and correct to the best of SRC Subscriber’s knowledge and belief and that SRC Subscriber has signed up for the stated subscription share size in the PV System through SRC Producer.
Consent to Disclose Account SRC Subscriber shall provide to Public Service a completed and signed “Consent to Disclose Utility Customer Data” form granting consent for Public Service to share information regarding SRC Subscriber’s past and present electric usage at the Service Address(es) identified above in order for SRC Producer independently to verify the extent of SRC Subscriber’s eligibility to hold a subscription in the PV System pursuant to Section 40-20-127, C.R.S., the effective rules and regulations promulgated thereunder by the Colorado Public Utilities Commission, and Rate Schedule SRC of Public Service’s Colorado Public Utilities Commission electric tariff. The Consent to Disclose Utility Customer Data form shall be that form posted from time to time on the Xcel Energy website or the website of the Colorado Public Utilities Commission.
